These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and All-Star Career Services LLC d/b/a 86 Service, concerning your access to and use of the Services. By accessing the Services, you agree that you have read, understood, and agreed to be bound by all of these Terms of Use. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms or documents that may be posted on the Services from time to time are expressly incorporated by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time. We will alert you by updating the “Last Updated” date. Your continued use of the Services constitutes acceptance of the revised Terms.

1. OUR SERVICES

The Services are intended for users located in the United States. The information provided through the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such use would violate law or regulation. Those who choose to access the Services from other locations do so at their own initiative and are responsible for compliance with local laws.



2. INTELLECTUAL PROPERTY RIGHTS

Our Intellectual Property

We are the owner or the licensee of all intellectual property rights in the Services, including all source code, databases, functionality, software, website designs, text, photographs, graphics, audio, video, trademarks, service marks, and logos (collectively, the “Content” and “Marks”).

Your Use of the Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Download or print a copy of any portion of the Content to which you have properly gained access,

solely for your personal, non-commercial use or internal business purposes.

Except as expressly permitted, no part of the Services, Content, or Marks may be copied, reproduced, republished, uploaded, posted, publicly displayed, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without our prior written consent.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

  1. You have the legal capacity and agree to comply with these Terms;

  2. You are not a minor in the jurisdiction in which you reside;

  4. You will not use the Services for any illegal or unauthorized purpose;

We reserve the right to suspend or terminate your access if information you provide is false, inaccurate, or incomplete.



4. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make them available. As a user, you agree not to:

  • Harass, abuse, or harm others

5. USER GENERATED CONTRIBUTIONS

The Services may allow you to submit content, including text, feedback, comments, or other materials (“Contributions”). Contributions may be visible to other users or third-party websites.

By submitting Contributions, you represent and warrant that:

  • You own or control the rights to the Contributions;

  • The Contributions do not violate applicable laws or third-party rights;

  • The Contributions are not confidential or misleading.

You are solely responsible for your Contributions.



6. CONTRIBUTION LICENSE

By submitting Contributions, you grant us the right to access, store, process, and use such Contributions to operate and improve the Services.

You retain ownership of your Contributions, but you agree that we are not liable for statements or representations made in them. Feedback may be used without compensation.



7. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to:

  • Monitor the Services for violations of these Terms;

  • Take appropriate legal action against violators;

  • Restrict or disable access;

  • Remove content that is excessive or burdensome;

  • Manage the Services to protect our rights and functionality.

8. TERM AND TERMINATION

These Terms remain in effect while you use the Services. We may terminate or suspend your access at our sole discretion, without notice or liability, for any reason, including breach of these Terms.

Upon termination, you are prohibited from creating a new account under another name.



9. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to modify, suspend, or discontinue the Services at any time without notice. We are not liable for interruptions, downtime, or loss resulting from such changes.



10. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of the State of Kentucky, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the state and federal courts located in Boone County, KY.



11. DISPUTE RESOLUTION

Informal Negotiations

The parties agree to attempt informal negotiations for at least 30 days before initiating arbitration.

Binding Arbitration

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration conducted in Boone County, KY, under the rules of the American Arbitration Association.

  • Governing law: Kentucky

Arbitration shall be conducted on an individual basis only. No class actions are permitted.



12. CORRECTIONS

We reserve the right to correct any errors, inaccuracies, or omissions on the Services at any time without prior notice.



13. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.



14. LIMITATIONS OF LIABILITY

IN NO EVENT SHALL WE OR OUR EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

Some jurisdictions do not allow certain limitations, so some provisions may not apply to you.



15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless All-Star Career Services LLC d/b/a 86 Service, including its officers, employees, and agents, from any loss or claim arising out of:

  • Your use of the Services;

  • Breach of these Terms;

  • Violation of third-party rights or laws.

16. USER DATA

We will maintain certain data transmitted to the Services for operational purposes. You are solely responsible for all data you transmit. We are not liable for any loss or corruption of such data.



17. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

You consent to receive electronic communications and agree that electronic records and signatures satisfy legal requirements.



18. MISCELLANEOUS

These Terms constitute the entire agreement between you and us. Failure to enforce any provision is not a waiver. No joint venture, partnership, or agency relationship is created.
